1. Scope of Application

These Terms and Conditions (T&Cs) apply to all contracts, deliveries, and services provided by:

Any deviating terms and conditions of the customer shall not apply unless explicitly agreed to in writing by Matrix Systems.
These T&Cs apply to all orders placed via our website as well as to rental and purchase agreements concluded in direct business transactions.

2. Conclusion of Contract

The presentation of products and services on our website does not constitute a legally binding offer but an invitation to place an order.
By completing the order process, the customer submits a binding offer.
A contract is concluded only upon explicit acceptance by a Matrix Systems representative (written confirmation or delivery of goods/services).

3. Rental and Purchase Items

Rental and purchase items include all materials and accessories listed in the delivery note or invoice.
The customer is obliged to inspect the goods upon receipt and report any defects immediately.
If no notification is made, the goods shall be deemed accepted in perfect condition.

For the rental of frame systems, lightboxes, and accessories, the following additional terms apply:

  • The rental period generally lasts a maximum of two weeks, calculated from the day of pickup until the return of the goods.
  • All rental items remain the property of Matrix Systems GmbH.
  • The renter is liable for any loss, damage, or improper handling of the rented items. Missing or damaged parts will be charged at the current replacement value.
  • Textiles (e.g., printed fabrics or banners) are not available for rent — they are sold only.
  • Returns must be made in the original packaging; incomplete or damaged packaging will be charged accordingly.
  • New customers are required to make a 50 % prepayment on their first order; the balance is due as invoiced.
  • Extensions of the rental period require prior written approval.
  • Matrix Systems assumes no liability for damages resulting from improper assembly, installation, or use of the rented items.

4. Use of Rental Items

Rental items may only be used properly and by qualified personnel.
Repairs may be carried out solely by Matrix Systems or authorized partners.
The items must be returned on time and to the agreed location.
For delayed returns, the agreed daily rate will be charged per additional day.

5. Prices and Payment Terms

All prices are quoted in CHF/EUR (as agreed), excluding statutory VAT and potential shipping costs.
Invoices are payable within 10 days without deduction unless otherwise agreed.
Matrix Systems reserves the right to request advance payment.

6. Retention of Title

Delivered goods remain the property of Matrix Systems until full payment has been received.
Pledging or transferring the goods as security to third parties is prohibited.

7. Delivery and Shipping

Delivery dates are only binding if explicitly confirmed in writing.
Risk passes to the customer once the goods are handed over to the carrier.
Returns are only accepted with prior written approval. Return shipping costs are borne by the sender.

8. Right of Withdrawal (Consumers Only, B2C)

Consumers have the right to withdraw from the contract within fourteen (14) days without stating any reason.

The withdrawal period begins on the day

  • you, or a third party authorized by you (who is not the carrier), have taken possession of the goods, or

  • in the case of partial delivery: when you or a third party authorized by you have taken possession of the final goods.

by sending a clear statement (e.g. by letter or email) indicating your decision to withdraw.

Consequences of Withdrawal
If you withdraw from this contract, we will refund all payments received from you, including delivery costs (excluding additional costs arising from your choice of a non-standard delivery method).
Refunds will be processed within 14 days of receiving your withdrawal notice, using the same payment method as in the original transaction unless expressly agreed otherwise.
We may withhold the refund until we have received the goods back or you have provided proof of return shipment.

Return Costs
The customer bears the direct costs of returning the goods.

Exclusions from Withdrawal
The right of withdrawal does not apply to:

  • Custom-made goods or items tailored to the customer’s specifications (special dimensions or bespoke products)

  • All textiles, as these are produced exclusively as custom items (e.g. printed or personalized materials)

  • Goods that have been used, damaged, or are no longer in their original condition.

9. Warranty and Guarantee

Swiss law applies regarding statutory warranty rights.
Hardware products carry a 2-year warranty; printed graphics have a 1-year warranty unless otherwise agreed.
Damage resulting from improper handling or unauthorized repairs is excluded.

10. Liability

Matrix Systems is fully liable for damages caused by intent or gross negligence and for injury to life, body, or health.
For minor negligence, liability is limited to the breach of essential contractual obligations and to foreseeable, contract-typical damages.

The customer is responsible for the selection of products.
Matrix Systems assumes no liability for the suitability of products for the customer’s intended use, particularly regarding extensions to existing installations, structures, or exhibition stands.
Matrix Systems accepts no liability for damages resulting from improper assembly, installation, or use.

Any further liability is excluded.

Matrix Systems GmbH accepts no liability for any damages resulting from improper assembly, handling, storage, use, or modification of the supplied or rented products.

Once the goods have been handed over, the customer assumes full responsibility for correct installation, operation, and safety of the products.
This particularly applies to assembly, installation, or electrical connections not carried out by qualified or authorized personnel.

Matrix Systems is only liable for intentional or grossly negligent breaches of duty on its part.
Any liability for indirect or consequential damages, loss of profit, production downtime, or other secondary losses is expressly excluded.

Mandatory statutory claims (e.g., for personal injury) remain unaffected.

11. Data Protection

Matrix Systems processes personal data exclusively in accordance with applicable data protection laws.

12. Copyright and Usage Rights

Matrix Systems retains all intellectual property and ownership rights to offers, drawings, presentations, and other materials.
Disclosure to third parties requires explicit written consent.

13. Applicable Law and Jurisdiction

This agreement is governed exclusively by Swiss law, with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction is Embrach (ZH), Switzerland.

All disputes arising from or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Swiss courts.
Deviating or foreign consumer protection regulations do not apply.
